Canon IGNITE
1. GENERAL INFORMATION
The Canon Ignite Platform provides Canadian photographers and videographers with access to educational content designed to enhance their photography and videography skills (the “ Canon Ignite Platform ”). This Website, including any portion accessible from the homepage (collectively, the “ Website ” and, together with the Canon Ignite Platform, the “ Services ”), and the Canon Ignite Platform are offered, published, and maintained by Canon Canada Inc. (“ Canon ”). This document constitutes a legal agreement. By accessing, browsing, using, or applying to participate in Canon Ignite and/or using the Services, you agree to be bound, without limitation or qualification, by these terms of use (the “ Terms of Use ”).
2. ELIGIBILITY
The Canon Ignite Platform is available only to legal residents of Canada who have reached the age of majority in their province or territory of residence at the time of registration and are members of the Canon Creator Lab. Membership in the Canon Creator Lab is free, and eligible individuals can create an account by clicking here and following the instructions provided.
3. ACCOUNT CREATION
Certain features or parts of the Services are password-protected and require you to complete a registration process and create an account (the “ Account ”) to access and/or participate in them. If we ask you for information to set up a User Account, you must provide accurate and complete information and update it if it changes. If you fail to provide or update this information, or if we have reasonable grounds to believe that you have not done so, we reserve the right, in our sole discretion, to disable your password and prevent you from using the Services, in whole or in part. You are responsible for maintaining the confidentiality of your credentials (username and password) and for restricting access to your computer or other device, as applicable, to prevent others from accessing your Account. We will not be liable if you fail to comply with this obligation. If you have reason to believe that someone else is using your Account without your authorization, you must contact us immediately. We are not responsible for any loss or damage arising from unauthorized use. You are entirely responsible for all activity that occurs under your User Account. Canon cannot be held liable for any loss or damage arising from your failure to comply with this section.
4. PAYMENTS AND FEES
Purchasing a subscription to the Services is available only to eligible customers with a billing address in Canada. When you purchase a subscription, the applicable fees (the “ Fees ”) will be charged to the payment method you provide, and you authorize Canon to charge that amount. Currently, we only accept credit cards listed on our checkout page. We reserve the right to change the accepted cards at any time. The total amount of your order will be charged on the date of your order.
5. ACCESS TO SERVICES, DURATION OF SERVICES
Once your payment is confirmed, you will have access to the Canon Ignite Platform for a period of one (1) year (the “ Term ”). The Canon Ignite Platform offers various content to help photographers and videographers improve their skills, including pre-recorded videos and live group sessions on the platform (“ Ignite Content ”). You can view the pre-recorded Ignite Content at your own pace. Live sessions must be attended at the scheduled time in the Canon Ignite Platform (if you wish to participate). You will only have access to Ignite Content during the Term of your one (1) year subscription.
Subscriptions do not renew automatically; however, you can purchase a new subscription if you are still eligible and wish to continue accessing Ignite Content.
6. CANCELLATION AND REFUNDS
Subscription to the Services cannot be cancelled and no refunds will be given.
7. USE OF SERVICES
The Services are for your personal use only. As long as you comply with these Terms of Use, Canon grants you a limited, non-exclusive, non-transferable, and non-assignable right to access, view, and use the Site, solely during the Term of your subscription, in order to access Ignite Content during that Term.
You agree that your use of the Services will comply with all applicable laws. In addition, you agree not to take any action in your use of the Services that could harm Canon, including by refraining from engaging in or attempting to engage in any of the following activities:
1. Interrupt the operation of the Services in any way, including by imposing an unreasonable load on the Site's infrastructure;
2. Delete or modify any content or other information belonging to another user, Canon or a third party;
3. Remove any copyright, trademark or other intellectual property rights notices contained in the Services or infringe any copyright, trademark or other intellectual property rights of others;
4. Download or aggregate data from the Services for purposes competitive with Canon;
5. Collect information about other people, including Canon Ignite Platform participants (such as their email addresses), without their consent;
6. Decipher, disassemble, decompile or reverse engineer any software comprising the Services;
7. Post any advertising or commercial solicitation not expressly authorized by Canon;
8. Circumvent, examine, or provide information about ways to circumvent the security mechanisms of the Services, including by allowing another person to access the Services using your credentials, or by forging, deleting, or obscuring your Internet Protocol header, email sender, or other identifying information;
9. Engage in any other activity that restricts or inhibits any other person from using or enjoying the Services, or which, in Canon's sole discretion, may expose Canon or its users, customers or suppliers to any liability or harm;
10. “Frame” or “mirror” any part of the Services without Canon’s prior written consent. For greater certainty, you must not use any meta tags, links, code or any other mechanism containing any reference to Canon or the Services to redirect any person to any other website for any purpose;
11. Take any other action that may harm or cause damage to Canon, other users of the Services or third parties.
Canon may take any action it deems appropriate if it determines, in its sole discretion, that you have engaged in any of the above conduct or have breached these Terms of Use. Such action may include terminating your access to the Services, terminating your subscription to the Canon Ignite Platform (no refund will be provided), or initiating legal proceedings, whether civil or criminal. In these circumstances, Canon may also investigate your use of the Services and provide information about it to the relevant authorities.
8. CANON INTELLECTUAL PROPERTY RIGHTS
You acknowledge that the Content (as defined below) is protected by copyright, trademark, and other applicable intellectual property laws. Your use of the Services does not grant you any ownership or other rights in the Content. Unless expressly stated otherwise, nothing in these Terms of Use or in the Services shall be construed as granting you or any other person any license under the intellectual property rights of Canon or any third party, including, without limitation, the right to download, publicly display, reproduce, distribute, modify, edit, or transform the Content in any way.
All rights not expressly granted to you in these Terms of Use are expressly reserved by Canon. You agree, among other things, not to take any action that is inconsistent with Canon's (or any third party's) proprietary rights in the Content. In particular, you are not permitted to copy, republish, or reproduce the Content included in the Services without Canon's prior written consent.
Copyright:
All materials on the Services, including, but not limited to, Ignite Content, images, software, audio files, text, data compilations, digital downloads, and video clips (collectively, the “ Content ”) are protected by Canadian and United States copyright laws, international conventions, and other copyright laws. The Content is owned by Canon or its third-party licensors. You may view the Content for your personal, non-commercial use, provided you retain all copyright and other proprietary notices, and in the case of Ignite Content, only during the Term of your subscription. Any unauthorized use of the Content may violate, among other things, copyright laws, trademark laws, the laws of privacy and publicity, or communications regulations. You may not modify the Content or otherwise reproduce, publicly display, distribute, or use the Content for any public or commercial purpose. Any reproduction of the Content on any other website or computer network, regardless of the purpose, is strictly prohibited.
Trademarks:
The trademarks, logos, service marks, trade names, product names and slogans displayed on the Site or in the Services are registered or unregistered trademarks of Canon, Canon Inc. or third parties (collectively, the “ Marks ”). Nothing on the Site or the Services may be construed as granting, by implication or otherwise, any license or right to use any Mark without the prior written permission of Canon or the third party owner. The absence of a product or service name or logo in the text of the Site or the Services does not constitute a waiver of any intellectual property rights associated with that name or logo.
9. NOTICE OF COPYRIGHT INFRINGEMENT
If you believe in good faith that a copyrighted work belonging to you has been reproduced on or linked to the Services without authorization in a way that constitutes infringement of your rights, please provide the following information to Canon's Legal Department:
Identification of the copyrighted work that is the subject of the alleged infringement; Identification of the allegedly infringing content on the Services, and the removal of which is requested; Your name, address, daytime telephone number, and an email address (if available), to enable Canon to contact you if necessary; A statement that you have a good faith belief that use of the copyrighted work is not authorized by the copyright owner, its agent, or the law; A statement that the information in the notice is accurate and that the person signing the notice is authorized to act on behalf of the owner of the copyright that is allegedly infringed; An electronic or physical signature of the copyright owner or a representative authorized to act on their behalf to assert infringement. The above contact information is for copyright infringement complaints only. For all other inquiries, please refer to the contact information provided elsewhere in these Terms of Use. Upon receipt of such notice, Canon, in its sole discretion and if deemed appropriate, will act expeditiously to remove or disable access to any content determined to be infringing a person's copyright under Canadian law. Canon will also terminate access to the Site for individuals who repeatedly infringe the copyright rights of others.
Canon reserves the right to remove any Content from the Services at any time and for any reason, without notice or liability.
10. USE OF SOFTWARE
Any software available through the Services (the " Software ") is a copyrighted work owned by Canon, its affiliates and/or their respective licensors. You may not copy or reproduce the Software to any other server or location for the purpose of further reproduction or redistribution, unless expressly permitted by a license agreement. You may not create derivative works of the Software or attempt to decompile or reverse engineer it, unless permitted by law. Use of the Software is subject to the terms of any license agreement accompanying or provided with the Software. You may download any Software only after reading and agreeing to the terms of that license.
WITHOUT LIMITING THE FOREGOING, THE SOFTWARE IS WARRANTED, IF AT ALL, SOLELY UNDER THE ACCOMPANYING LICENSE AGREEMENT. EXCEPT AS OTHERWISE PROVIDED IN THAT LICENSE AGREEMENT, CANON, ITS AFFILIATES, AND THEIR RESPECTIVE LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SOFTWARE, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
11. COMMUNICATIONS AND SUBMISSIONS
User Communications:
Except for personal information as defined and protected by Canon's Online Privacy Policy, any content, information or communication you send or post to the Services (the " Communications ") will be considered non-confidential and non-proprietary. Canon will have no obligations with respect to such Communications.
By posting, uploading, adding, communicating, storing or transmitting any Communications on or through the Services, you acknowledge that you grant Canon a royalty-free, irrevocable, perpetual, non-exclusive, and fully sublicensable license to modify, broadcast, publish, copy, disclose, distribute, perform, create derivative works from, incorporate, or otherwise use such Communications, and any images, sounds, text, or other materials contained therein, for any purpose, including commercial, promotional, or marketing purposes, throughout the world and in any media now known or hereafter devised. However, you agree that Canon is not obligated to use any idea or content contained in any Communication, and you may not compel Canon to do so.
You agree that your Communications must not contain content:
Unlawful, threatening, defamatory, obscene, pornographic or otherwise infringing; Indicating, explicitly or implicitly, that your statements are supported by Canon; Disrupting other users' use of the Services, including their participation in the Canon Ignite Platform; Encouraging or inciting someone to break the law; Infringes any third party rights, including copyright, property rights, privacy rights or contains personal or sensitive information about you or another person; Containing commercial solicitation, a virus or any other harmful component; Disseminating false or misleading information, including information about the origin of the content. Although you are solely responsible for your Communications, Canon may, but is not obligated to, monitor them. If Canon believes that a Communication violates these Terms or contains obscene, violent, offensive, or otherwise objectionable content, it may, without notice, in its sole discretion: (a) remove the content, (b) restrict access to it, or (c) take any other action, including terminating your participation in the Canon Ignite Platform.
Internet transmissions are never completely private or secure. You understand that any Communication sent through the Services could be read or intercepted by others. By sending a Communication to Canon, you waive any obligation Canon may have with respect to that Communication, including any obligation to respond or follow up.
Unsolicited Ideas:
Canon and its affiliated companies (the " Canon Group of Companies ") have been engaged in research and development in various sectors for many years. In order to protect its own ideas and avoid misunderstandings, Canon has a strict policy of not soliciting creative ideas, suggestions, or content from the public (" Unsolicited Ideas "). You should therefore not submit any such ideas to Canon, whether through the Site or otherwise. If you nevertheless choose to send an Unsolicited Idea that is not protected by a patent or already public, that idea immediately becomes the property of Canon. By submitting it, you agree to assign all your rights to Canon, and Canon becomes the sole owner of the idea. In addition, you: (i) Grant Canon a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, non-exclusive, and unlimited license to reproduce, adapt, modify, translate, distribute, or otherwise exploit the Unsolicited Idea in any form or media; (ii) Waive all moral rights in and to this Idea to Canon.
Without limiting the foregoing, you agree that Canon may use, without compensation to you, any ideas, concepts, know-how or techniques included in your Unsolicited Idea for the purpose of developing, manufacturing or marketing products. Canon will not be liable in any way for the use or disclosure of these ideas or for any similarities with future projects.
12. THIRD-PARTY COMPANIES AND PRODUCTS
Any mention of third-party products, companies, or websites in the Services is for informational purposes only and does not constitute an endorsement or recommendation. Canon makes no representations regarding the quality, safety, or suitability of any products offered by third-party companies. Links to third-party sites are provided for your convenience. Canon is not responsible for the content of such sites. The fact that a link leads to an external site does not imply that Canon endorses that site or its content. Canon disclaims all warranties, express or implied, for the accuracy, legality, reliability, or validity of any content from third-party sites. You access such sites at your own risk.
13. CONTESTS, SWEEPSTAKES AND OTHER PROMOTIONS
The Services may include contests, sweepstakes, or other promotions (“ Promotions ”) offering prizes or requiring the submission of personal information. Each Promotion is governed by its own rules, which you must read and agree to before participating. Please also refer to Canon’s online Privacy Policy for more information regarding contests, sweepstakes, and other promotions administered by Canon.
14. RULES FOR CHILDREN (UNDER 13)
This website is not directed to children under the age of 13, and we do not knowingly collect information from them in violation of applicable laws. Only individuals who have reached the age of majority in their province or territory of residence in Canada are eligible to use the Services.
15. PRODUCTS AND SERVICES
The products and services displayed on the Services are intended only for eligible individuals located in Canada and may not be available for purchase in your country or locality. The mention of these products or services on the Services does not imply or guarantee that they will be available at any time in your region.
INFORMATION REGARDING CANON PRODUCTS AND SERVICES, INCLUDING THEIR AVAILABILITY, APPEARANCE, PRICES AND SPECIFICATIONS:
(A) MAY BE INACCURATE, INCOMPLETE, UNRELIABLE, OUT OF DATE OR ERRONEOUS, AND
(B) MAY BE MODIFIED OR CORRECTED AT ANY TIME WITHOUT NOTICE.

17. COMPENSATION
You agree to indemnify, defend, and hold harmless Canon, and its agents, directors, employees, information providers, licensors, officers, and affiliates (collectively, the “ Indemnified Parties ”) from and against any and all claims, costs, or liabilities (including legal fees) arising from: Your use of the Services; Any violation of these Terms of Use. You agree to cooperate fully in Canon’s defense of any claim. Canon will have the right to select its own counsel, at your expense. You acknowledge that Canon will retain full control of its defense. You also agree not to enter into any settlement involving Canon without its written consent.
18. MODIFICATIONS
Canon may modify these Terms of Use, in whole or in part, at any time. It is therefore important to regularly review the updated version. Without limitation, we may change our payment terms, the structure of the Services, the Term of the Services, prohibited activities and prohibited conduct on our Site. If we change these Terms of Use, we will notify you either by posting the updated version on the Site or by other means of communication. Where required by law or if we deem it appropriate, we will send a notice to the email address (or other means of contact we deem appropriate) associated with your Account. This notice will include the new or modified text, the prior version, as well as the effective date of the change, at least thirty (30) days in advance. It is essential that you review the new version as soon as possible. By continuing to use the Services after the posting of the amended Terms of Use, you agree to be bound by those changes. If you do not agree to the new terms, you must immediately stop using the Services. If you do not agree to a change, you may terminate your use of the Services, without charge or penalty, by sending us notice to that effect.
By continuing to use the Services after these Terms are modified, you agree to be bound by the new Terms of Use.
19. TERMINATION
To the fullest extent permitted by applicable law, Canon may terminate the Services and these Terms of Use, and/or suspend or terminate your access to the Services, for any reason, at any time, without notice other than as required by law. If you wish to terminate your access to the Site or close your Account, please refer to the specific terms of the relevant sub-site or service.
The applicable provisions of these Terms of Use will survive termination of your Account or this Agreement. In particular, the licenses you grant to Canon for your Communications are perpetual and remain valid even after termination.
20. APPLICABLE LAW
This Website is administered by Canon from its offices in Brampton, Ontario, Canada, and these Terms of Use are deemed to be entered into there.
These Terms of Use shall be governed by and construed in accordance with the laws of the Province of Ontario, without regard to principles of conflicts of law. You agree that any claim or dispute with Canon relating to the use of the Site shall be brought in a court of competent jurisdiction in Ontario, unless otherwise agreed by the parties.
21. ENTIRE AGREEMENT
These Terms of Use, together with the Canon Site Privacy Policy, constitute the entire agreement between you and Canon regarding the Services. They supersede any prior understandings on this subject. If any provision of these Terms of Use is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, it will be deemed superseded by a valid provision that reflects as nearly as possible the original intent. The remainder of the Terms of Use will remain in full force and effect. Any amendment to these Terms, unless made by Canon itself, will only be binding on Canon if made in writing and signed by a senior officer of Canon, explicitly stating that it is intended to amend these Terms.

As long as you comply with these Terms of Use, Canon grants you a limited, non-exclusive, non-transferable, and non-assignable right to access, view, and use the Site, solely during the Term of your subscription, in order to access Ignite Content during that Term.
You agree that your use of the Services will comply with all applicable laws. In addition, you agree not to take any action in your use of the Services that could harm Canon, including by refraining from engaging in or attempting to engage in any of the following activities:
1. Interrupt the operation of the Services in any way, including by imposing an unreasonable load on the Site's infrastructure;
2. Delete or modify any content or other information belonging to another user, Canon or a third party;
3. Remove any copyright, trademark or other intellectual property rights notices contained in the Services or infringe any copyright, trademark or other intellectual property rights of others;
4. Download or aggregate data from the Services for purposes competitive with Canon;
5. Collect information about other people, including Canon Ignite Platform participants (such as their email addresses), without their consent;
6. Decipher, disassemble, decompile or reverse engineer any software comprising the Services;
7. Post any advertising or commercial solicitation not expressly authorized by Canon;
8. Circumvent, examine, or provide information about ways to circumvent the security mechanisms of the Services, including by allowing another person to access the Services using your credentials, or by forging, deleting, or obscuring your Internet Protocol header, email sender, or other identifying information;
9. Engage in any other activity that restricts or inhibits any other person from using or enjoying the Services, or which, in Canon's sole discretion, may expose Canon or its users, customers or suppliers to any liability or harm;
10. “Frame” or “mirror” any part of the Services without Canon’s prior written consent. For greater certainty, you must not use any meta tags, links, code or any other mechanism containing any reference to Canon or the Services to redirect any person to any other website for any purpose;
11. Take any other action that may harm or cause damage to Canon, other users of the Services or third parties.
Canon may take any action it deems appropriate if it determines, in its sole discretion, that you have engaged in any of the above conduct or have breached these Terms of Use. Such action may include terminating your access to the Services, terminating your subscription to the Canon Ignite Platform (no refund will be provided), or initiating legal proceedings, whether civil or criminal. In these circumstances, Canon may also investigate your use of the Services and provide information about it to the relevant authorities.
8. CANON INTELLECTUAL PROPERTY RIGHTS
You acknowledge that the Content (as defined below) is protected by copyright, trademark, and other applicable intellectual property laws. Your use of the Services does not grant you any ownership or other rights in the Content. Unless expressly stated otherwise, nothing in these Terms of Use or in the Services shall be construed as granting you or any other person any license under the intellectual property rights of Canon or any third party, including, without limitation, the right to download, publicly display, reproduce, distribute, modify, edit, or transform the Content in any way.
All rights not expressly granted to you in these Terms of Use are expressly reserved by Canon. You agree, among other things, not to take any action that is inconsistent with Canon's (or any third party's) proprietary rights in the Content. In particular, you are not permitted to copy, republish, or reproduce the Content included in the Services without Canon's prior written consent.

All materials on the Services, including, but not limited to, Ignite Content, images, software, audio files, text, data compilations, digital downloads, and video clips (collectively, the “ Content ”) are protected by Canadian and United States copyright laws, international conventions, and other copyright laws. The Content is owned by Canon or its third-party licensors. You may view the Content for your personal, non-commercial use, provided you retain all copyright and other proprietary notices, and in the case of Ignite Content, only during the Term of your subscription. Any unauthorized use of the Content may violate, among other things, copyright laws, trademark laws, the laws of privacy and publicity, or communications regulations. You may not modify the Content or otherwise reproduce, publicly display, distribute, or use the Content for any public or commercial purpose. Any reproduction of the Content on any other website or computer network, regardless of the purpose, is strictly prohibited.
Trademarks:
The trademarks, logos, service marks, trade names, product names and slogans displayed on the Site or in the Services are registered or unregistered trademarks of Canon, Canon Inc. or third parties (collectively, the “ Marks ”). Nothing on the Site or the Services may be construed as granting, by implication or otherwise, any license or right to use any Mark without the prior written permission of Canon or the third party owner. The absence of a product or service name or logo in the text of the Site or the Services does not constitute a waiver of any intellectual property rights associated with that name or logo.
9. NOTICE OF COPYRIGHT INFRINGEMENT
If you believe in good faith that a copyrighted work belonging to you has been reproduced on or linked to the Services without authorization in a way that constitutes infringement of your rights, please provide the following information to Canon's Legal Department:

Upon receipt of such notice, Canon, in its sole discretion and if deemed appropriate, will act expeditiously to remove or disable access to any content determined to be infringing a person's copyright under Canadian law. 10. USE OF SOFTWARE
Any software available through the Services (the " Software ") is a copyrighted work owned by Canon, its affiliates and/or their respective licensors. You may not create derivative works of the Software or attempt to decompile or reverse engineer it, unless permitted by law. Use of the Software is subject to the terms of any license agreement accompanying or provided with the Software. WITHOUT LIMITING THE FOREGOING, THE SOFTWARE IS WARRANTED, IF AT ALL, SOLELY UNDER THE ACCOMPANYING LICENSE AGREEMENT. 11. COMMUNICATIONS AND SUBMISSIONS
User Communications:
Except for personal information as defined and protected by Canon's Online Privacy Policy, any content, information or communication you send or post to the Services (the " Communications ") will be considered non-confidential and non-proprietary. Canon will have no obligations with respect to such Communications.
By posting, uploading, adding, communicating, storing or transmitting any Communications on or through the Services, you acknowledge that you grant Canon a royalty-free, irrevocable, perpetual, non-exclusive, and fully sublicensable license to modify, broadcast, publish, copy, disclose, distribute, perform, create derivative works from, incorporate, or otherwise use such Communications, and any images, sounds, text, or other materials contained therein, for any purpose, including commercial, promotional, or marketing purposes, throughout the world and in any media now known or hereafter devised. However, you agree that Canon is not obligated to use any idea or content contained in any Communication, and you may not compel Canon to do so.
You agree that your Communications must not contain content:
Unlawful, threatening, defamatory, obscene, pornographic or otherwise infringing; Indicating, explicitly or implicitly, that your statements are supported by Canon; Disrupting other users' use of the Services, including their participation in the Canon Ignite Platform; Encouraging or inciting someone to break the law; Infringes any third party rights, including copyright, property rights, privacy rights or contains personal or sensitive information about you or another person; Containing commercial solicitation, a virus or any other harmful component; Disseminating false or misleading information, including information about the origin of the content. Although you are solely responsible for your Communications, Canon may, but is not obligated to, monitor them. If Canon believes that a Communication violates these Terms or contains obscene, violent, offensive, or otherwise objectionable content, it may, without notice, in its sole discretion: (a) remove the content, (b) restrict access to it, or (c) take any other action, including terminating your participation in the Canon Ignite Platform.
Internet transmissions are never completely private or secure. You understand that any Communication sent through the Services could be read or intercepted by others. By sending a Communication to Canon, you waive any obligation Canon may have with respect to that Communication, including any obligation to respond or follow up.
Unsolicited Ideas:
Canon and its affiliated companies (the " Canon Group of Companies ") have been engaged in research and development in various sectors for many years. In order to protect its own ideas and avoid misunderstandings, Canon has a strict policy of not soliciting creative ideas, suggestions, or content from the public (" Unsolicited Ideas "). You should therefore not submit any such ideas to Canon, whether through the Site or otherwise. If you nevertheless choose to send an Unsolicited Idea that is not protected by a patent or already public, that idea immediately becomes the property of Canon. By submitting it, you agree to assign all your rights to Canon, and Canon becomes the sole owner of the idea. In addition, you: (i) Grant Canon a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, non-exclusive, and unlimited license to reproduce, adapt, modify, translate, distribute, or otherwise exploit the Unsolicited Idea in any form or media; (ii) Waive all moral rights in and to this Idea to Canon.
Without limiting the foregoing, you agree that Canon may use, without compensation to you, any ideas, concepts, know-how or techniques included in your Unsolicited Idea for the purpose of developing, manufacturing or marketing products. Canon will not be liable in any way for the use or disclosure of these ideas or for any similarities with future projects.

17. COMPENSATION
You agree to indemnify, defend, and hold harmless Canon, and its agents, directors, employees, information providers, licensors, officers, and affiliates (collectively, the “ Indemnified Parties ”) from and against any and all claims, costs, or liabilities (including legal fees) arising from: Your use of the Services; Any violation of these Terms of Use. You agree to cooperate fully in Canon’s defense of any claim. Canon will have the right to select its own counsel, at your expense. You acknowledge that Canon will retain full control of its defense. You also agree not to enter into any settlement involving Canon without its written consent.
18. MODIFICATIONS
Canon may modify these Terms of Use, in whole or in part, at any time. It is therefore important to regularly review the updated version. Without limitation, we may change our payment terms, the structure of the Services, the Term of the Services, prohibited activities and prohibited conduct on our Site. If we change these Terms of Use, we will notify you either by posting the updated version on the Site or by other means of communication. Where required by law or if we deem it appropriate, we will send a notice to the email address (or other means of contact we deem appropriate) associated with your Account. This notice will include the new or modified text, the prior version, as well as the effective date of the change, at least thirty (30) days in advance. If you wish to terminate your access to the Site or close your Account, please refer to the specific terms of the relevant sub-site or service.
The applicable provisions of these Terms of Use will survive termination of your Account or this Agreement. In particular, the licenses you grant to Canon for your Communications are perpetual and remain valid even after termination.
20. APPLICABLE LAW
This Website is administered by Canon from its offices in Brampton, Ontario, Canada, and these Terms of Use are deemed to be entered into there.
These Terms of Use shall be governed by and construed in accordance with the laws of the Province of Ontario, without regard to principles of conflicts of law. You agree that any claim or dispute with Canon relating to the use of the Site shall be brought in a court of competent jurisdiction in Ontario, unless otherwise agreed by the parties.
21. ENTIRE AGREEMENT
These Terms of Use, together with the Canon Site Privacy Policy, constitute the entire agreement between you and Canon regarding the Services. They supersede any prior understandings on this subject. If any provision of these Terms of Use is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, it will be deemed superseded by a valid provision that reflects as nearly as possible the original intent. The remainder of the Terms of Use will remain in full force and effect. Any amendment to these Terms, unless made by Canon itself, will only be binding on Canon if made in writing and signed by a senior officer of Canon, explicitly stating that it is intended to amend these Terms.
